Denuo has advised BurServis, a supplier of oil and gas fields services, on the acquisition of 100% of shares in Aggreko Eurasia, a company offering solutions for implementing projects based on gas engine and diesel units, load modules, refrigeration machines and other temperature control equipment, from an international holding Aggreko.
Denuo provided full legal support for the acquisition, including performing due diligence, preparing transaction documents governed by Russian law and the law of England and Wales, obtaining regulatory approvals in several jurisdictions, including the special approval of the transaction from the President of Russia, tax structuring of the transaction, as well as signing and closing.
The Moscow-based team included Corporate partners Igor Antonyan and Anna Krutik, senior associate Alexandra Kuznetsova and associate Ruslan Baygarin. Denis Gavrilov, partner and Head of Antitrust and Competition, assisted by legal director Karin Ovakimyan and senior associate Alexander Silakov provided legal support for obtaining the special approval from the President of Russia. Tax aspects of the transaction were covered by Igor Venediktov, partner and Co-Head of Tax, assisted by legal director Zaurbek Timaev. Finance matters were covered by legal director Alexei Kolesnikov assisted by associate Sandzhi Vankaev.
