Resolution No. 46-P of the Constitutional Court of the Russian Federation
On 3 October 2023, the Constitutional Court of the Russian Federation passed resolution No. 46-P regarding the constitutionality of article 131(1) of the Russian Civil Code and article 14(2)(5) of the Federal Law “On the Public Registration of Real Property” in connection with a complaint brought by Ms T. V. Solodovnikova. The importance of this judicial resolution is such that it is only the second time that the Russian Constitutional Court has decided to address the issues of private arbitration. New procedure for distributing profit (dividends) to “unfriendly” members (shareholders) of Russian companies
The Subcommission of the Government Commission for Control over Foreign Investment in the Russian Federation established that foreign “unfriendly” shareholders may be entitled to receive profits of Russian companies in circumvention of the special procedure and without the approval of the Ministry of Finance of Russia, subject to certain conditions.
