Legal Director
Maria Alterman focuses on advising clients on a wide range of general business law matters, including commercial and regulatory aspects of doing business in Russia, as well as business sale and divestment transactions.

Maria represents clients in connection with the sale and purchase of assets in Russia, including navigating international and Russian businesses through the international sanctions and Russian countersanction regimes.

Maria has considerable experience in FMCG and pharmaceuticals sectors. Maria was lead lawyer of the team advising on the launch of a novel consumer product category in Russia, starting from identifying the applicable regulatory treatment, arranging for the import and sales contractual set-up, leading the negotiations with both offline and e-commerce sales operators, up to supporting the client in administrative and court disputes arising in connection with the product expansion.

Maria’s experience includes ongoing advice to clients on navigating through regulatory regimes for various consumer products, including safety, sales, marketing, and advertising regulations.

  • Representing the seller in the process of the sale of a Russian car dealership business to various bidders
  • Representing a Swiss industrial engineering group in the process of selling its Russian business
  • Advising international businesses on navigating through the international sanctions and the Russian countersanction restrictions in connection with business sales, exits and divestments
  • Providing complex legal support to a global tobacco company on its conventional business, as well as launching and expanding next generation product business in Russia, including advice on commercial and regulatory matters
  • Providing full-scale support to an international automotive manufacturing company on entering into a state contract relating to investment in new production facilities in the CIS
  • Advising a publicly traded pharmaceutical company in the structuring of a cross-jurisdictional share exchange transaction with a publicly traded US company
  • Providing full legal support to a CIS pharmaceutical company in connection with its sale by a group of shareholders to another group of shareholders with external financing
  • Supporting a multinational confectionery beverage and snack food company on the sale of its production facilities in the CIS, as well as ongoing regulatory matters
