Denuo advises Romex Group on acquisition of Park House shopping centres’ network for RUB11.72 billion

Denuo has advised the Romex Group holding on the acquisition of seven Park House shopping centres with a total area of 420,000 square metres. The transaction was structured as the purchase of 10 Russian owner companies from G City Europe, the leading European operator (formerly Atrium European Real Estate). The total investment volume amounted to RUB11.72 billion (~USD146.5 million). The acquired assets are located in major Russian cities: Moscow, St Petersburg, Yekaterinburg, Kazan, Volgograd and Togliatti.

The Romex Group already owns five Red Square shopping centres in southern Russian cities: Anapa, Armavir, Krasnodar, Novorossiysk and Tuapse. As a result of the deal, the holding has acquired a unified network of shopping centres and has entered the markets of Moscow, St Petersburg and other key Russian cities.

Denuo provided full legal support for the acquisition, including preparing and negotiating transaction documents, structuring, as well as signing and closing the transaction.

The team included Corporate and Real Estate and Construction legal director Anna Krutik and associate Alexandra Kuznetsova. Finance matters were covered by legal director Alexei Kolesnikov, assisted by associate Artem Gerasimov.
