We are pleased to invite you to a business breakfast where we will examine current issues of inheritance and marital and family relations arising in the context of business sales and purchases, and the creation of joint ventures.

Representatives of Denuo and invited experts – Evgeny Petrov, PhD in Law, editor-in-chief of the third volume of Gloss dedicated to inheritance law, and Konstantin Garkin, acting notary of Moscow – will participate in the discussion.

  • Inheritance of rights and obligations under share (participation interest) sale and purchase agreements (SPAs), corporate agreements (CAs), and options:

    • liability of heirs for the seller's provision of untrue warranties under SPAs;
    • inheritance of the seller's indemnity obligations under SPAs;
    • extension of the seller's liability limitations under SPAs to heirs;
    • inheritance of rights and obligations of the parties under CAs and options;
    • methods for excluding heirs from participating in a joint venture; and
    • other issues related to the inheritance of rights and obligations arising from SPAs, CAs and options.

  • Issues related to obtaining spousal consent when concluding SPAs, CAs and options:

    • the need to obtain spousal consent to the disposal of or acquisition of shares (participation interest) and the conclusion of CAs;
    • the need to obtain spousal consent to the concealed disposal of shares (participation interest); and
    • other issues related to obtaining spousal consent to enter into agreements aimed at the disposal of shares (participation interest).
