Leonid Kropotov

Leonid Kropotov advises foreign and Russian companies on corporate and commercial law. He has extensive experience of supporting M&A transactions, intragroup restructurings and establishing of joint ventures.

Also, Leonid has experience in supporting disputes in state courts, international commercial and investment arbitration, including support of disputes heard by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC), the International Centre for Settlement of Investment Disputes (ICSID), International Arbitration at the Permanent Court of Arbitration, the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation (ICAC).

Leonid is recommended in the area of corporate law, dispute resolution, energy and natural resources by Best Lawyers, Legal 500 and Pravo-300.

Experience

  • Representing the Government of St Petersburg in a USD500 million investment dispute in an ad hoc arbitration under UNCITRAL Rules in Stockholm
  • Representing the owners of the international logistics company in the partial sale and establishment of a joint venture with a UK-based property investment company specialising in commercial real estate in Russia, for the development of a 160,000 m² logistics park in St Petersburg
  • Representing a UK supplier of production equipment in an international arbitration at the ICAC
  • Providing full-scale legal support for a global manufacturer and distributor of resins in a transaction on the purchase of an alkid resin factory in the Belgorod Region, Russia, and setting up a contractual framework for further commercial relations between the parties, as well as successfully defending the transaction in Russian state courts
  • Advising a leading global oil company on a cross-border purchase of shares in a company producing hydrocarbons at a hydrocarbon field in Russia
  • Representing an international financial investor and Russian shareholders in a cross-border transaction on the partial sale and establishment of a joint venture in relation to the leading retail chain in the “drogerie” segment in Russia
  • Advising a Singapore-listed commodity trader on its disposal of 49% equity interest in its subsidiary
  • Acting for an international business in an ICSID case against a Central and Eastern European country
  • Representing a foreign state in an investment dispute worth USD500 million at the International Arbitration at the Permanent Court of Arbitration in a lawsuit filed by the Russian fund on the basis of the bilateral investment treaty
  • Advising sellers in the course of the sale of a group of retail companies to a strategic investor for a price exceeding USD150 million

Publications

Leonid is the author of an essay entitled “Commercial Investments in Real Estate: Legal Regulation” (Moscow, Infotropic Media, 2012), a co-author of Commentary on International Commercial Arbitration (Textbook, St Petersburg, Statut Publishing House, 2018) and the author of a series of articles on international arbitration. Recent articles include:
